Terms of Service

These terms are the agreement between you and True North Tech Group LLC, Wyoming, USA ("Cosend", "we", "us") for your use of Cosend. By creating an account you accept them. If you are accepting on behalf of a company, you confirm you have the authority to bind it.
1. The service
Cosend connects a WhatsApp Business number to software. It provides WhatsApp coexistence onboarding, a shared inbox, a Graph-compatible passthrough API, webhook routing and override, an automation engine, connectors to third-party services, an MCP server and an n8n node. What each plan includes is on the pricing page.
We may change, add or remove features. Where a change removes something you rely on, we give notice under §11.
2. Accounts and seats
- You are responsible for your account credentials and API keys, and for everything done with them. Tell us promptly if you believe a key has been exposed; you can rotate keys yourself at any time.
- An organization is the unit of billing and of data isolation. Members of one organization cannot see another organization's data.
- Seats are named users, not concurrent sessions. Your plan includes a number of seats and additional seats are charged monthly at the rate on the pricing page.
- You must be at least 18 and must not be barred from using the service under applicable law.
3. Your relationship with Meta
This section is not boilerplate and it is worth reading. Cosend is a Meta Tech Provider once Meta has approved our application; until then, coexistence onboarding is not available. Your WhatsApp Business Account is yours, not ours. It is registered to your business, and Meta's own terms — the WhatsApp Business Terms and the WhatsApp Business Messaging Policy — apply to you directly.
Two consequences follow. Meta can restrict, rate-limit or disconnect your number for reasons that have nothing to do with Cosend, and we cannot overturn that decision on your behalf. And Meta bills you directly for the messages you send:
Cosend does not charge for WhatsApp messages. Meta bills your WhatsApp Business Account directly at their rates. We never mark them up, resell them, or hold your message credit.
4. Acceptable use
Our Acceptable Use Policy is incorporated into these terms by reference and forms part of them. It prohibits unsolicited messaging, purchased or scraped contact lists, using the passthrough API as a general-purpose proxy for non-WhatsApp traffic, and anything that violates WhatsApp's Business Messaging Policy. Breaching it is a breach of these terms.
5. Plans, billing and overage
Paid plans are billed monthly in advance through Stripe. Prices are exclusive of VAT, GST and sales tax, which are calculated and added at checkout where they apply. Included volumes, seats, and the AI overage rate for each plan are on the pricing page.
What an AI conversation is
One AI conversation is one 24-hour window, per contact, per connection, in which Cosend's AI generated at least one message. The window opens with the first AI-generated message and closes 24 hours later. Any number of AI messages within that window counts as one conversation.
Overage, and the cap
Overage is capped at 200% of your plan's included AI conversations. When you reach the cap, AI replies stop until the next billing period or an upgrade. Your inbox, your API and your transactional sends keep working.
The cap is a real ceiling, not a warning. It exists so that the largest invoice your plan can produce is a number you can read on the pricing page before you sign up.
Failed payments
If a payment fails we retry it and email you. A failed payment does not immediately stop message routing — there is a grace period, deliberately, because a production integration should not break the hour a card expires. If the payment is still outstanding when the grace period ends, routing is disabled until the balance is paid. Your data is not deleted at that point; §8 governs deletion.

6. Availability
We target 99.5% monthly availability, and we do not offer SLA credits at launch. That is stated plainly because the alternative — publishing a number we have not built for — is worse for both of us.
Planned maintenance is announced in advance where it will be user-visible. Meta's platform, and any third-party service you connect, have their own availability, which we do not control.
7. Your data
Your data is yours. You retain all rights to the content you send through Cosend and to the data your account produces. We claim no ownership of it, and we do not sell it, rent it, or use it to train models.
You grant us the limited licence needed to run the service for you: to store, transmit, process and display your data to you and to the recipients you address, and to pass it to the sub-processors at /subprocessors. That licence ends when the data is deleted.
Where we process personal data on your behalf, our Data Processing Addendum applies and forms part of these terms. Our Privacy Policy describes what we do with the data we control.
8. Suspension and termination
- You may cancel at any time, from the dashboard. Service continues to the end of the period you have paid for.
- We may suspend routing for a breach of the AUP, for non-payment after the grace period, or where required by law. We give notice where we can. We act without notice where a Meta restriction on your number is at stake or where there is an immediate risk to the platform or to another customer.
- We may terminate for a material breach that is not fixed within 14 days of notice, or immediately for a repeated or deliberate breach of the AUP.
- After termination your data is retained for 30 days and then deleted. Export it before or during that window. Deletion is permanent.
9. Warranties and liability
The service is provided "as is". To the extent the law allows, we exclude implied warranties of merchantability, fitness for a particular purpose and non-infringement.
Neither party is liable for indirect, incidental, special or consequential damages, or for lost profits, revenue or data, arising out of these terms. Our total liability in any 12-month period is limited to the amount you paid us in the 12 months before the claim, or US$100 if you are on the free plan.
Nothing here excludes liability that cannot lawfully be excluded, including for death or personal injury caused by negligence, or for fraud.
10. Governing law
These terms are governed by the laws of the State of Wyoming, United States, without regard to its conflict-of-laws rules. The courts of that state have exclusive jurisdiction, except that either party may seek injunctive relief in any court of competent jurisdiction. If you are a consumer resident in the EEA or the UK, this does not deprive you of the protection of the mandatory law of your country of residence.
11. Changes
We may change these terms. For a material change we give at least 30 days' notice by email to the address on your account and by updating the date at the top of this page. If you do not accept the change, cancel before it takes effect. Continuing to use the service after that date is acceptance.
